These Terms of Service govern your use of ClipUp. By using our service, you agree to these terms.
1. Service Description
ClipUp is a marketplace connecting brands (Creators) with content distributors (Clippers). Creators launch CPM campaigns, upload or reference content, and pay for verified performance. Clippers submit clips, earn upon approval, and receive payouts based on verified views. ClipUp facilitates the platform, verification, and payments.
2. Account and Roles
You register as either a Creator (brand) or Clipper. Roles are determined at signup and cannot be changed without a new account. You are responsible for the accuracy of your profile and for keeping your credentials secure.
3. Creator Obligations
Creators must provide accurate campaign details, CPM rates, and content. You are responsible for reviewing submissions and approving only content that meets your standards. Payment obligations arise upon approval and verification of performance.
4. Clipper Obligations
Clippers must submit only original or properly licensed clips that comply with campaign rules and platform policies. You may not manipulate view counts or engage in fraud. Earnings are based on verified performance—we do not guarantee any level of reach or virality.
5. Fees and Payments
ClipUp charges a take rate (default 15%, operating range 10–20%) on validated campaign spend. No subscription fees at launch. Payout terms for Clippers are set in the platform and may include minimum thresholds and processing times.
6. Content and IP
Creators retain ownership of their content. By submitting clips, Clippers grant Creators and ClipUp the rights necessary to distribute and verify performance. All parties must respect intellectual property and platform terms.
7. Prohibited Conduct
You may not use ClipUp for illegal activity, fraud, spam, or to violate third-party terms. We reserve the right to suspend or terminate accounts that violate these terms.
8. Limitation of Liability
ClipUp is provided "as is." We do not guarantee outcomes, virality, or specific performance levels. Our liability is limited to the extent permitted by law.
9. Changes
We may update these terms. Material changes will be communicated via email or in-app notice. Continued use constitutes acceptance.
